GenAI Innovation Forum Attendee Registration Agreement

This document sets out the terms and conditions (“Terms”) between GENAI INNOVATION FORUM LLC (the “Company”) and You which govern your registration for the Gen AI Innovation Forum that is being organized, hosted, and facilitated by the Company (the “Forum”) and your attendance at the Forum.

1. Acceptance of Policies and Registration Conditions

By registering for attending the Forum, and/or by actually attending the Forum, you confirm that you have read or have had a chance to read these Terms, your agreement to comply with the Terms, your agreement to be bound by the Terms, and that you understand the Terms. You hereby acknowledge that prior to completing your registration, you had a chance to read and review these Terms in full, and that your Registration signals your acknowledgment and acceptance of the Terms contained herein. If you do not wish to accept or be bound by the Terms, then you should not register for the Forum or attend the Forum.

2. Registration and payment

Paid registration covers admission for one named attendee to the two-day, in-person Forum. It does not include airfare, lodging, ground transportation, or virtual attendance. The price, any discount, and any applicable taxes or mandatory charges will be displayed before payment. Registration is confirmed when payment is accepted, and the Company sends a confirmation email. Complimentary registrations are subject to the participation terms below but are not refundable.

3. Attendee cancellation and refunds

If you would like to refund or cancel your registration, you must e-mail a cancellation request to genaiinnovationforum@gmail.com. We use the time the message reaches that address, measured in Eastern Time, to determine the time of the refund or cancellation request.

Refund percentages apply to the registration charge actually paid for the canceling attendee; applicable taxes will be adjusted as required. Refunds will be issued to the original payment method. No refunds are available for non-attendance or for attending only part of the Forum. A free attendee substitution may be available under Section 4.

4. Attendee substitutions

You may substitute another attendee at no charge if you send the new attendee’s name and email address to admin@genaiinnovationforum.com by June 1, 2027. The substitute must accept the applicable attendee terms before entry. Registrations may not be resold or transferred outside this process. Your rights under this Agreement are not transferable or assignable, and any such attempt to transfer or assign the same shall be void ab initio.

5. Programming changes and organizer cancellation

The Company has full discretion and ability to schedule, facilitate, arrange, organize, and otherwise conduct the Forum as it wishes. You understand and agree that you are given no guarantee or representation as to the nature or schedule of the Forum by the Company. Speakers, sessions, timing, and room assignments may change at the Company’s discretion. A particular speaker or session is not guaranteed. The Forum will communicate program changes to Attendees using the contact information provided during registration.

The Company reserves the right to cancel the Forum at its discretion and at any time. If the Company cancels the event, it will refund 100% of the registration charge paid by Attendees.

The Company has no obligation to and shall not reimburse airfare, lodging, or other travel or personal expenses, nor be liable for any incidental or consequential costs or damages incurred by Attendees as a result of any changes to the nature or schedule of the Forum nor as a result of the cancellation of the Forum.

6. Session Capacity

The Forum may include sessions, workshops, or activities with limited seating or capacity. Entry to these sessions is available on a first-come, first-served basis, and the Company cannot guarantee availability or admission to every session for all attendees. Purchasing an event ticket or registering for the Forum does not guarantee access to any specific session. The Company encourages attendees to arrive early to secure seating for high-interest sessions. No refunds, credits, or compensation will be provided if an attendee cannot access a session due to capacity limits, nor shall the Company be liable for any incidental or consequential costs or damages incurred as a result thereof.

7. Participation and off-the-record discussions

You agree that you will treat speakers, staff, other attendees, and all third parties and individuals at the Forum respectfully. Harassment, discriminatory conduct, disruption, and solicitation of any kind are not permitted. You agree that you will follow the safety and access instructions of the venue at which the Forum is held.

The Company may remove and/or revoke attendance to any attendee for violation of this behavior requirement, at their sole discretion. If an attendee is removed or attendance is revoked, they shall not be entitled to any refund or compensation, nor shall the Company be liable for any incidental or consequential costs or damages incurred as a result thereof.

The Forum will not record conference sessions designated as “off record.” You shall not photograph, record, live stream, or use automated transcription in those groups. You acknowledge and agree that some details shared in those discussions may be the confidential information of third parties. You may share general insights you gained there, but shall not share any such confidential information, nor identify another participant or attendee as the source of a comment, nor disclose their nonpublic company information without permission. This Company does not guarantee that every attendee will comply with such obligations and shall not be liable for any incidental or consequential damages incurred as a result of any Attendees’ choice to share information obtained at such discussions. You shall not share trade secrets or other information you are not authorized to disclose.

8. Privacy Policy

You agree to the Company’s use of your contact data to send you informative updates about the Forum or other events. The attendee list will include the delegate's name, company, job title, and any profile picture you choose to add, and will be sent digitally to all delegates and exhibitors. This enables networking among attendees, speakers, and partners before, during, and after the forum. When registering for the event, you may opt into this use and sharing of personal data. The Company does not sell or rent out contact data. If you do not opt in, you can still register and attend, but your profile will not appear in the directory.

9. Accessibility and practical arrangements

For accessibility accommodations or dietary requirements, email admin@genaiinnovationforum.com as early as practicable. The Company will take reasonable efforts to work with the venue at which the Forum is held to respond to reasonable requests. Attendees must arrange and pay for their own travel and accommodation.

10. Liability Waiver & Release

In consideration of being allowed to register for, and participate in the Forum, you hereby release from liability, assume all risks, and covenant not to sue the Company and its officers, directors, employees, members and agents (the “Released Parties”) from any and all liability for any injury, loss, or damage arising out of or in connection with your participation in the Forum, including loss of life, illness or harm, including, but not limited to, COVID-19, disability, property damage, or property theft or actions of any kind that you may hereafter suffer or sustain before, during, or after the Forum, unless said expense, loss, damage, personal injury, including loss of life, illness, disability, property damage or property theft or actions of any kind is caused by the sole, gross negligence of the Released Parties. You further agree to indemnify and hold the Released Parties harmless from and against any liability for any injury, loss, damage, cost or expense arising out of or in connection with your negligence or misconduct at or in connection with the Forum.

You agree that you shall indemnify the Released Parties harmless from and against any loss, damage, liability, claim, demand, suit and expense (including reasonable attorneys' fees) which may be incurred as the result of any claim, demand, suit, or proceeding made or brought against a Released Party to the extent based upon or arising out of: (i) any breach by you of any applicable law; (ii) any breach by you of these Terms; (iii) your negligence or willful misconduct, or other malfeasance or actions at the Forum; or (iv) the enforcement by Company of rights granted in these Terms.

Recommendations given and views expressed by third-party speakers, sponsors, other attendees, and/or exhibitors at the Forum are their own and the Company in no way endorses or guarantees such recommendations or views. The Company shall have no liability for any actions taken, advice given, views expressed, materials distributed, negligence or malfeasance by any third parties, attendees, speakers, sponsors, or exhibitors.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR ATTENDANCE AT THE FORUM IS AT YOUR SOLE RISK, AND THE FORUM AND ALL INFORMATION AND MATERIALS ARE PROVIDED “AS-IS” AND WITHOUT WARRANTY OF ANY KIND. FURTHER, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND REGARDLESS OF THE NATURE OF THE ACTION OR THEORY OF LIABILITY, IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY LOST PROFITS, LOST OPPORTUNITY, LOST SAVINGS, LOSS OF GOODWILL, LOST BUSINESS, LOSS OF ANTICIPATED BENEFITS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER DAMAGES ARISING OUT OF OR AS A RESULT OF THE REGISTRATION FOR THE FORUM, THESE TERMS, THE FORUM, OR ANY INFORMATION OR MATERIALS PRESENTED OR MADE AVAILABLE DURING THE FORUM, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Speaker and Content Changes

The Company plans the Forum and its events and conferences based on information available at the time of scheduling. While we strive to deliver all advertised sessions and speakers, circumstances beyond our control may require substitutions, alterations, or cancellations of sessions, speakers, or event content. The Company reserves the right to make any such changes at any time within their discretion for any reason. The cancellation or substitution of any speaker or session does not entitle attendees to any refunds, credits, or compensation for tickets purchased, nor shall the Company be liable for any incidental or consequential damages as a result thereof. The Company will use reasonable efforts to update the event program and website to reflect on any such changes as soon as practicable.

12. Usage of Photographic and Video Material Taken at the Forum

By attending the event, you acknowledge that the Company may photograph, film, record, and otherwise capture your name, image, likeness, voice, and/or statements in any media format at the event, and may edit, use, reproduce, display, and distribute such content for marketing, promotional, editorial, and any other lawful purposes in the ordinary course of its business. You have no ownership of any kind in such photographs, films, or recordings. The Company shall not be liable for the capture, use, or distribution of your image, likeness, or voice by any other attendees or third parties present at the Forum.

13. Badge Scanning & Tracking During the Event

The Forum event co-sponsors, exhibitors, and other third parties may directly request your personal information at their exhibit booths or presentations. Providing your information is optional, and you should review the privacy policies of all relevant third parties to address your needs and concerns about how they will treat your personal information. Please understand and agree that when you present your badge for scanning or providing personal data, that information will go to a non-Company entity, and the Company takes no responsibility for how that company uses your personal information.

14. Force Majeure

In special situations, including, but not limited to, extreme weather conditions, natural disasters, sabotage, trade disputes, terrorism, virus epidemics, or war, the Company may decide to reschedule or cancel the event. We will notify purchasers of the new date, if any, as soon as reasonably practicable. If the Company does not hold the rescheduled event by December 9, 2027, we will refund the registration fee paid pursuant to Section 5 herein. The Company has no obligation to and shall not reimburse airfare, lodging, or other travel or personal expenses, nor be liable for any incidental or consequential costs or damages incurred by Attendees as a result of any changes to the nature or schedule of the Forum nor as a result of the cancellation of the Forum.

15. General

The Company reserves the right to change, amend, add or remove any of the above Terms in its sole discretion and without prior notice. These Terms apply to all event participants (attendees, speakers, sponsors, exhibitors).

You represent and warrant that (i) you have the full right, power and authority to agree to be bound by these Terms without violating any law or requiring other permissions; (ii) your agreement to be bound by these Terms do not and will not violate or conflict with any agreement to which you are a party or by which you are otherwise bound; and (iii) these Terms constitute the legal, valid and binding obligation of yours, enforceable against you in accordance with its terms. You represent that you shall not violate any law at the Forum, nor infringe on any third party right of any kind (including without limitation, any worldwide copyright, trademark, patent, trade name, publicity right, privacy right and/or other intellectual property right of any kind) and/or any applicable law, rule, or regulation.

This Agreement shall be governed by the laws of New Jersey, and the Parties agree to the jurisdiction of the state and federal courts therein, and any action related to this Agreement shall be brought in the state and federal courts therein. If any part of these Terms is deemed to be invalid, illegal, or otherwise unenforceable the remaining provisions hereof shall continue in full force and effect. The rights, duties, obligations and liabilities of the Parties which are intended to survive shall survive the termination of this Agreement, including without limitation, the terms addressing confidentiality, payment obligations, ownership, representations & warranties, indemnifications, non-compete, limitations on liability, and insurance obligations.
